Apply to Attend

1. Parties

This Funding Representation Agreement ("Agreement") is entered into between Idea to Empire LLC ("Consultant"), and the undersigned business owner ("Client"), as of the date of electronic signature below.

2. Scope of Services

Client authorizes Idea to Empire LLC to act as a non-exclusive funding consultant and representative on their behalf for the purpose of identifying, facilitating introductions to, and assisting in the application process for business funding opportunities. Services include but are not limited to: reviewing Client's business profile and financial information, matching Client with appropriate lenders and capital partners, facilitating introductions through the Fund Scale Grow Summit and beyond, and supporting the funding application process through to approval.

3. Consultant Fees

Client agrees to pay Idea to Empire LLC the following success-based fees upon funding approval and disbursement:

Term Loans: 3% of the total approved loan amount, due upon disbursement of funds to Client.

Business Credit Cards: 5% of the total approved credit limit, due upon account approval and issuance.

Fees are earned only upon successful funding. No fees are charged for unsuccessful applications. Consultant fees are separate from and in addition to any fees charged by the lender directly.

4. Attendance Fee

Client agrees to pay a non-refundable attendance fee of $497 upon acceptance to the Fund Scale Grow Summit. This fee secures Client's seat and 3 pre-scheduled lender meetings curated based on Client's business profile and qualifications. The attendance fee is not a success fee and is not applied toward or deducted from any consultant fee earned under Section 3.

5. Client Responsibilities

Client agrees to provide accurate and complete business and financial information as requested, respond in a timely manner to requests for documentation, attend scheduled meetings and follow through on introduced opportunities in good faith, and notify Idea to Empire LLC promptly if Client independently secures funding with any lender introduced through this Agreement.

6. Fee Trigger & Monitoring

Client agrees to notify Idea to Empire LLC within 5 business days of receiving any funding approval from a lender introduced by or through Idea to Empire LLC, including introductions made at or in connection with the Fund Scale Grow Summit. Client authorizes Idea to Empire LLC to follow up directly with lenders to confirm funding status where permitted. Failure to disclose a funded deal does not eliminate the fee obligation under this Agreement.

7. Non-Exclusive Relationship

This Agreement is non-exclusive. Client retains the right to seek funding through other channels independently. Consultant fees under Section 3 apply only to funding secured through lenders introduced or facilitated by Idea to Empire LLC.

8. Term & Termination

This Agreement begins on the date of signature and remains in effect for 12 months or until all funding introductions made under this Agreement have been resolved, whichever is later. Either party may terminate future services with 10 days written notice, provided that fee obligations on any introductions already made survive termination.

9. Limitation of Liability

Idea to Empire LLC does not guarantee funding approval. Consultant acts solely as a facilitator and representative. Client acknowledges that final funding decisions rest with the lender and that Idea to Empire LLC bears no liability for a lender's decision to decline an application.

10. Governing Law

This Agreement is governed by the laws of the State of Georgia. Any disputes shall be resolved in Fulton County, Georgia.

11. Electronic Signature

Client agrees that an electronic signature below constitutes a legal and binding signature equivalent to a handwritten signature under the Electronic Signatures in Global and National Commerce Act (E-SIGN Act) and applicable state law.
